6. Vote on BRWC membership position vacated by the resignations of Lara Gale **Note: When
the GSLWC is formed, they will appoint someone from their council to ours. We cannot have
more than 21 members of our council.**
7. Vote on BRWC Secretary Position
8. Clarification - a quorum must be present to conduct BRWC business, but “an action of the local
council must be approved by no less than a majority of the council.” For our council of
potentially 21 members, this means that we must have 11 council members present to conduct
a meeting, AND council business must be passed by a minimum of 11 members in favor.
Fortunately, we have had quorums at each meeting, and all votes have been unanimous.
9. Amend the BRWC Organizing Document to change the minimum number of meetings annually
(see back page for current and possible wording)

9. Amend the BRWC Organizing Document to change the minimum number of meetings

Current wording:
Article IV. Section 5. Regular Meetings
Meetings shall be held quarterly, or more frequently as determined by the Chair. Meeting dates, times,
locations, and agenda shall be posted in accordance with the Open and Public Meetings Act [Utah Code §
73-10g-307(2)(b)].
Proposed wording:
10. Amend the BRWC Organizing Document to allow for proxies at future BRWC meetings
Current wording:
Article II. Section 4. Member Rights
All Members, including the Chair, shall be entitled to one (1) vote on all matters properly brought before the
Council for action. Members may not designate proxies to act or vote in their steads.
Proposed wording:
All Members, including the Chair, shall be entitled to one (1) vote on all matters properly brought before the
Council for action. If a member is unable to attend a meeting of the Council or is otherwise unable to act,
the member may designate a proxy to act in the Member’s stead by providing written
notice of the designation to the Chair no later than 24 hours prior to a meeting of the
Council in which the member intends the proxy to participate. The Council shall enter in
the record of a meeting proper documentation of a designated proxy’s authority to act on
behalf of a member. No designation of a proxy shall exceed one year in duration. The
member may revoke the proxy designation at any time. [Utah Code § 73-10g-
306(1)(a)(iii)]
